Every clause below is the deal exactly as presented — nothing added, nothing moved. Read it, sign it, and the build starts this week. Signing takes about two minutes.
Builder will deliver the complete employee intranet described in the governing specification, in Client's Microsoft 365 tenant:
| Gate | Trigger & what conveys | Amount |
|---|---|---|
| G1 — Engagement & design conveyance | Execution of this Agreement. Conveys the completed and already-demonstrated design assets: the solution design and information architecture, and production rights to the working prototype. These are Client's to keep regardless of whether the engagement continues. | $35,000 |
| G2 — Build live | All nine destinations and request intake live in Client's tenant, accepted in writing | $10,000 |
| Total — firm fixed | Per the project schedule confirmed at kickoff | $45,000 |
G1 is due on execution of this Agreement, and the build begins on receipt. G2 is invoiced net-15 following written acceptance. G1 is not a pre-payment for future labor: it purchases design work already performed and delivered for evaluation. The price is firm for the Section 1 scope; Builder bears any overrun. No amount beyond $45,000 is payable for Section 1 scope without a change order signed by both parties, except the success additions below.
Success additions. In addition to the firm-fixed $45,000, Client will pay Builder: (i) $10,000 upon Satisfactory Launch — meaning automation, the Costpoint bridge, and dashboards are live and training is delivered, with no open critical defects; and (ii) $20,000 upon the closing of the Designated Award — the pending Client contract award the parties designate for this purpose in writing at kickoff. Each amount is invoiced net-15 when its trigger occurs; neither is payable if its trigger does not occur; nothing here obligates Client to pursue or accept any award. With both triggers met, the maximum payable for Section 1 scope is $75,000.
Client designates one Project Sponsor authorized to accept deliverables. Acceptance windows are five business days; deliverables are deemed accepted if no written response is received. Consolidated UAT feedback flows through the Sponsor.
All deliverables are built in Client's Microsoft 365 tenant using standard Microsoft components. Upon payment, Client owns the site, lists, workflows, configuration, and documentation. No vendor lock-in: any qualified administrator can maintain the system from the as-built documentation.
No employment relationship exists or is created by this Agreement. Builder performs as an independent contractor: Builder controls its own means, methods, schedule, and tools; may serve other clients; is responsible for its own taxes and insurance; and receives no employee benefits. Client incurs no payroll taxes, benefits, or employment overhead under this Agreement, and will process it through its standard procurement review.
Electronic execution. The parties agree this Agreement may be executed electronically under the U.S. E-SIGN Act and the Georgia Uniform Electronic Transactions Act; an electronic signature (drawn or typed) has the same force as an ink signature. A certificate of execution — timestamp, signer identity, and a SHA-256 fingerprint of this document — is generated at signing. Effectiveness. Client's electronic signature below constitutes execution by Client; the Agreement becomes fully effective when Builder countersigns and delivers a fully executed copy to Client's signer (within one business day). Governing law: State of Georgia. Entire agreement: this document supersedes prior proposals and discussions for the Section 1 scope.
